Job Description
American National is seeking a full-time, AVP, Assistant General Counsel to advise on corporate governance matters by providing in-house legal support to American National Group Inc. and its subsidiaries. Your focus will be on the mitigation of risk arising from any legal, regulatory, or governance issues. In addition, you will be involved in strategic financial initiatives including mergers & acquisitions, reinsurance, bond issuances, preferred share offerings, and other similar transactions.
Onsite Placement Locations:
League City, Galveston, or Houston, TX campuses, Springfield, MO, or Glenmont, NY
What will you do:
Provide legal counsel and support on governance matters, including corporate governance, regulatory compliance, and risk management
Manage and reinforce strategic transactions, including due diligence, negotiation, drafting, and review of transaction documents
Collaborate with internal stakeholders, including senior management, parent company, and sister company leaders, to develop and implement governance policies and procedures
Advise on legal and regulatory issues related to corporate structure, business operations, and strategic initiatives
Conduct legal research and analysis to support decision-making and ensure compliance with applicable laws and regulations
Monitor and analyze changes in laws and regulations that may impact the company's operations and provide guidance on necessary adjustments
Maintain strong relationships with internal stakeholders, external legal counsel, regulatory authorities, and industry associations
Support insurance holding company act filings, such as forms A, B, C, D and E
Provide legal assistance to the finance function with respect to financial reporting and establishment and maintenance of banking and securities counterparty relationships
Support the Office of Corporate Secretary
Qualifications:
Juris Doctorate
Licensed to practice law in the state hired
Professional experience as an attorney in a law firm or in-house setting
Strong analytical and problem-solving skills with an ability to translate legal issues and concepts that are understandable for business partners and can lead to decisions
Strong communication and interpersonal skills, with the ability to interact effectively with senior management and external stakeholders
High level of professional discretion, trustworthiness, and confidentiality
Well versed in corporate law, strategic transactions, finance, and corporate governance matters as well as regulatory requirements applicable to insurance and insurance holding companies
Ability to successfully work independently and collaboratively in a time sensitive work environment
Flexibility to work hours outside of normal business operations to meet immediate deadlines or support during peak periods
Proficiency in Microsoft Office Suite (Word, Excel, Outlook, PowerPoint)
Great to have:
Experience working in a financial institution, corporate legal department, and/or law firm with a focus in insurance
Familiarity with strategic transactions and regulatory issues
Five to ten years’ work experience in a legal practice, with a focus on corporate governance and strategic initiatives within the insurance industry
